NEW YORK, December 21, 2022 – Bragar Eagel & Squire, P.C., a nationally recognized stockholder rights law firm, has launched an investigation into whether the officers or directors of Brunswick Bancorp (OTCPK:BRBW) (“Brunswick”) breached their fiduciary duties or violated the federal securities laws in connection with the company’s acquisition by Mid Penn Bancorp, Inc. (NASDAQ:MPB) (“Mid Penn”).

On December 20, 2022, Brunswick announced that it had entered into an agreement to be acquired by Mid Penn in a $53.9 million cash and stock deal. Pursuant to the merger agreement, 50% of Brunswick common shares will be converted into Mid Penn common stock while the remaining 50% will be exchanged for cash. Brunswick shareholders will have the option to elect to receive either 0.598 shares of Mid Penn common stock or $18.00 in cash for each common share of Brunswick they own, subject to proration to ensure that, in the aggregate, 50% of the transaction consideration will be paid in the form of Mid Penn common stock. The deal is expected to close in the second quarter of 2023.

Bragar Eagel & Squire is concerned that Brunswick’s board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement. Accordingly, the firm is investigating all relevant aspects of the deal and is committed to securing the best result possible for Brunswick’s stockholders.
The individual or institution below (“Plaintiff”) has reviewed and agrees to the Bragar Eagel & Squire, P.C. (“BESPC”) retainer agreement and authorizes BESPC to prosecute an action on Plaintiff’s behalf under the federal securities laws or applicable state laws to recover damages on behalf of investors in Brunswick Bancorp. BESPC will prosecute the action on a full contingency basis and will forward all costs and expenses.
